### 🔎 About the Role
HD Bank is looking for a **Corporate Governance Subsidiaries Manager** to oversee and monitor subsidiaries’ compliance with corporate governance requirements and regulatory standards.
The role focuses on **governance compliance, policies & procedures, assessments, reporting, internal controls, and coordination with subsidiary compliance teams**.
### 🎯 Key Responsibilities
• Monitor subsidiaries’ compliance with regulatory and bank governance requirements.
• Identify governance gaps and follow up on required corrective actions and supporting documentation.
• Develop and update governance assessment tools and frameworks.
• Ensure subsidiaries establish, adopt, and regularly update governance policies and procedures.
• Review governance assessment results and maintain accurate governance registers and related data.
• Prepare periodic reports for the **Governance Committee** and relevant committees.
• Coordinate with subsidiary Compliance Officers on governance implementation and required updates.
• Monitor internal controls and governance practices across subsidiaries.
• Supervise the first-line manager, assign tasks, monitor performance, and evaluate results.
• Perform additional responsibilities as assigned by the Head of Sector.
Job Requirements:
• University degree in **Accounting, Business Administration, Economics**, or a related field.
• **8+ years of experience in the banking sector.**
• **6+ years of experience in Governance.**
• Strong knowledge of corporate governance and regulatory requirements.
• Experience with governance policies, procedures, assessments, and reporting.
• Strong coordination, monitoring, and follow-up skills.
• Leadership and team management capabilities.
### ⭐ Preferred
• Specialized courses in **Governance Principles**.
• Training in **Regulatory / Control Areas**.
• Administrative Skills Development courses.

⚠️ This is a **senior managerial-level banking role** requiring substantial experience in both **Banking and Corporate Governance**.
